SHAREHOLDER PROPOSAL RULES

As we recently informed you, the Securities and Exchange Commission issued a release
soliciting comments on proposed amendments to Rule 14a-8, the shareholder proposal rule,
and related amendments to Rules 14a-2, 14a-4, 14a-5, and 13d-5.* The SEC extended the
comment period for the proposed amendments from November 25, 1997 to January 2, 1998.
Attached is a copy of the release extending the comment period.
