Attached is a draft comment letter on the SEC's proposed amendments to Rule
2a-7. The letter reflects the positions discussed at the February 8 and 17
meetings of the Committee and the Institute's memorandum dated March 7, 1994.
Please note that there are a number of items that we have flagged in the
letter (in bold print) on which we request your input.
