RE: FEBRUARY 17 MEETING ON PROPOSED AMENDMENTS TO RULE 2a-7

As you know, the Institute held a meeting on February 8, 1994 to discuss
the proposed amendments to Rule 2a-7 under the Investment Company Act. (See
Memorandum to Money Market Funds Ad Hoc Committee No. 1-94 and SEC Rules
Committee No. 4-94, dated January 4, 1994.) Due to the large number and
complexity of the issues raised in the Commission's release proposing these
amendments, we did not cover the entire agenda. Specifically, we did not discuss
several of the proposals relating primarily to taxable money market funds, such
as those dealing with asset-backed securities and other synthetic instruments,
repurchase agreements and adjustable rate government securities. Therefore, a
meeting has been scheduled for February 17, 1994 to discuss these proposals and
any others that were not fully addressed at the February 8th meeting. We will
use the same agenda that was prepared for the February 8th meeting, which was
sent to you on January 4.
The February 17 meeting will be held at the Grand Hyatt Hotel (Independence
Room E) at 1000 H Street, N.W., Washington, D.C. The meeting will begin at 10:00
a.m. A block of hotel rooms has been reserved for members staying over the night
of February 16. Please make your own hotel reservations. When making your
reservation, please be sure to mention that you are attending the Investment
Company Institute's meeting to get the reduced rate. The telephone number of the
