RE: FEBRUARY 8 MEETING ON PROPOSED AMENDMENTS TO MONEY MARKET
FUND REGULATION

The Institute has scheduled a meeting for February 8, 1994 to discuss the
proposed amendments to the rules and forms under the federal securities laws
relating to money market funds, particularly tax-exempt money market funds. (See
Memorandum to SEC Rules Committee No. 113-93 and Money Market Funds Ad Hoc
Committee No. 10-93, dated December 23, 1993.) The meeting will be held at the
Capital Hilton (Pan-American Room), located at 16th and K Streets, N.W.,
Washington D.C. The meeting will begin at 10:00 a.m.
Attached is an agenda for the meeting. The page numbers in the agenda
refer to the page numbers in the release sent to you on December 23rd. As you
can see from the agenda, the SEC has requested comment on a number of items, many
of which are technical in nature. Therefore, it would be useful if you reviewed
the agenda with the appropriate persons within your firm prior to the meeting.
A block of rooms have been reserved at the hotel for members staying over
the night of February 7. Please make your hotel reservations by January 17,
1994. When calling the hotel to make your reservation, be sure to mention that
you are attending the Investment Company Institute's meeting to get the reduced
