RE: NOTICE OF MEETING OF AD HOC TASK FORCE ON 12b-1 ISSUES ON
TUESDAY, AUGUST 11

The second meeting of the Ad Hoc Task Force on 12b-1 Issues
will be held on Tuesday, August 11 in the David Silver Conference
Room on the 6th floor of the Institute. At the meeting, we will
discuss a draft letter to the NASD, in question and answer
format, addressing technical issues under the recently-approved
asset-based sales charge rules. (A draft of this letter, which
is based primarily on the discussion among Task Force members at
the meeting held on March 4, will be circulated before the
meeting.) In addition, we will discuss possible modifications to
Rule 12b-1 and/or staff interpretations relating thereto in light
of the SEC’s approval of the NASD proposal. Please call Terrye
