RE: DRAFT AGENDA FOR APRIL 29 MEETING

Attached is a draft agenda for the SEC Rules Committee
meeting scheduled for April 29, 1992. The meeting will be held
at the Sheraton Washington Hotel, 2660 Woodley at Connecticut
Avenue at 10:00 a.m. Martha Cochran, Counsel and Staff Director
to the Securities Subcommittee of the Senate Banking Committee,
will be our special luncheon speaker. Ms. Cochran will discuss
pending matters before the Subcommittee, including investment
adviser legislation and the SEC's small business initiative.
