RE: INSTITUTE COMMENTS ON PROPOSED CALIFORNIA AMENDMENT TO
PERMIT UNIFORM CONSENT

The Institute sent the attached comment letter to the
California Department of Corporations in support of a proposed
amendment which would permit the filing of the Uniform Consent to
Service of Process (Form U-2) or the consent to service of
process set forth in Rule 260.165 of the California Commissioner
of Corporations. Even though the applicable statute and rule
require the filing of a California form, it is our understanding
that the Department has accepted the uniform form to satisfy the
filing requirement. Thus, the proposed amendment will codify the
Department's current practice of accepting either Form U-2 or the
California form.
