RE: MEETING SCHEDULED WITH NASAA TO DISCUSS ELECTRONIC FILING

As you are aware, the North American Securities
Administrators Association ("NASAA") is very interested in
developing an electronic one-stop filing system that could be
used by investment companies for blue sky filing purposes.
John Perkins, President of NASAA has requested a meeting
with some of the Institute's members to discuss the proposed
Securities Registration Depository ("SRD"). At this meeting, the
discussion will focus on the various options that NASAA is
considering rather than a technical discussion of the system.
NASAA is extremely interested in obtaining input from the
Institute's members as to whether or not such options would be
beneficial for the investment company industry.
The Institute has scheduled a meeting with NASAA on Friday,
April 19, 1991, 1:30 p.m. at the Capital Hilton . This meeting
will follow the State Liaison Committee meeting and luncheon.
