RE: NOVEMBER 12 MEETING

In addition to discussing recommendations for the
regulation of tax-exempt money market fund at the November 12
meeting of the ad hoc committee, at the request of certain
members of the committee, we will also reconsider whether ratings
from an NRSRO could serve as an alternative to the specific
quality standards set forth in Rule 2a-7. Attached for your
information is a letter submitted to the SEC by a fund sponsor
requesting this alternative.
