UIT SECONDARY MARKET SALES

We recently distributed to you a draft of the section of
the Institute's comment letter, responding to the SEC's concept
release on reform of the regulation of investment companies, that
relates to secondary sales of unit investment trusts. ( See
Memorandum to Unit Investment Trust Committee No. 37-90, dated
August 23, 1990). Attached hereto is a revised version of that
section of the comment letter, as approved by the Institute's
Executive Committee on September 12. The comment letter will be
reviewed by the Institute's Board of Governors at its meeting on
October 4.
