In the attached Federal Register notices, the staff of the
SEC has announced that it is no longer considering the proposed
amendments to rule 12b-1 which were published for comment in June
1988. See Institute memorandum to SEC Rules Members No. 35-88,
dated June 17, 1988.) Instead, the Commission staff will
consider these proposed amendments, as well as proposed rule 6c-
10 (see Institute memorandum to SEC Rules Members No. 54-88,
dated November 3, 1988), as part of a comprehensive study of the
Investment Company Act of 1940 which is being undertaken by the
staff.
