RE: MEETING REGARDING REGULATION S

We are scheduling a meeting of the International Funds Task
Force on Thursday, May 24 at 10:00 a.m. in the Institute's
Conference Room. The primary item on the agenda will be the
extension of Regulation S to offers and sales of securities
issued by mutual funds and unit investment trusts, in
preparation for drafting an appropriate response to the SEC's
request for comments on this issue. We are mailing the SEC
release adopting Regulation S and a related memorandum to you
under separate cover.
Please let us know as soon as possible if you are able to
attend this meeting and what other topics you would like the
Task Force to discuss at the meeting. Some possible agenda
items include Rule 17f-5 and recent SEC staff comments
regarding foreign concentration. You may call Susan Burgess at
