RE: COMMERCIAL PAPER HOLDINGS

Recent events in the commercial paper market which
impacted several money market funds have prompted the SEC to
consider reexamining the existing regulation of money market
funds.
To assist the Institute's staff and the Money Market Fund
Committee in evaluating what regulatory changes, if any, may be
needed, the enclosed questionnaire was developed to determine
the relative importance of commercial paper holdings of the money
market fund industry rated in the A2, P2 level. The Institute
is collecting these data to measure the aggregate holdings by
the industry of commercial paper at various rating levels. Data
for individual complexes will remain confidential.
Please have the attached form completed and returned to
me by May 1. The response of each member complex is important
to achieve an accurate picture of commercial paper holdings. We
appreciate your cooperation.
