PROSPECTUS REFORM AD HOC COMMITTEE
RE: FEBRUARY 15 MEETING OF PROSPECTUS REFORM AD HOC COMMITTEE

The Institute has formed an ad hoc committee to review
current prospectus disclosure requirements and prepare a proposal
for the SEC of those requirements that should be deleted or
modified. (See Memorandum to SEC Rules Committee No. 81-89,
dated December 27, 1990.) We have scheduled a meeting of the ad
hoc committee for February 15, 1990. If you have not already
done so, please contact me if you are interested in participating
on the committee.
In addition to discussing prospectus reform at the meeting,
we will also discuss issues that may have come up in connection
with the staff's generic comment letter that was recently
distributed. (See Memorandum to SEC Rules Committee 4-90, dated
January 19, 1990.)
The February 15 meeting will be held at the Institute at
1:00 p.m. Lunch will be served at 12:00 noon. Please contact

able to attend the meeting.
