RE: SEC PARTICIPATION IN REORGANIZATION PROCEEDINGS

As we previously informed you, the SEC has issued a release
seeking comments on the scope of its participation in bankruptcy
proceedings under Chapter 11 of the Federal Bankruptcy Code.
(See Memorandum to SEC Rules Committee No. 60-89, dated October
10, 1989.) The Release requested comments by November 15, 1989.
The SEC has since issued a release extending the comment
period to January 2, 1990. In addition, a public hearing on the
subject originally scheduled for December 11, 1989 has been
postponed and will be rescheduled.
