RULE 144A AND REGULATION S

The Commission recently reproposed Rule 144A and
Regulation S. (See Memorandum to SEC Rules Committee No. 39-89
and International Funds Task Force No. 5-89, dated July 17, 1989
and Memorandum to SEC Rules Committee No. 38-89 and International
Funds Task Force No. 4-89, dated July 17, 1989, respectively.)
The comment period for both reproposals ends on September 12,
1989.
On July 26, 1989, there will be a meeting to discuss
possible comments on reproposed Rule 144A and Regulation S. The
meeting will be held at 10:00 a.m. at the Institute. Lunch will
