RE: FILING FEES IN WASHINGTON STATE

At the request of the Washington Securities Division, we
are sending this memorandum to clarify the state's policy in
regard to certain filing fees. In addition to fees for the
initial and renewal registration of mutual fund securities,
Washington state imposes a $25 fee for filing annual financial
statements and a $10 fee for filing any amended offering
circular, prospectus or sales report. Each document is
considered an individual filing.
In the event that the proper filing fees are not paid, it
is the policy of the Washington Securities Division to notify the
sender that the filing is rejected. The documents and proper
filing fees must be resubmitted.
