RE: UNIFORM NOTICE OF INTENTION TO SELL SECURITIES

We have revised the attached form entitled "Uniform Notice
of Intention to Sell Securities" as we agreed upon at our State
Liaison Committee meeting. We intend to promote the use of this
uniform form by states which provide a blue chip exemption, yet
require the annual filing of a form and fee to claim such
exemption.
