RE: SURVEY ON CLOSED-END FUND PROTECTION FEATURES AND DISCOUNT
CONTROL MEASURES

At the April 19, 1989 Closed-End Fund Committee Meeting,
Chairman DeStaebler discussed the Closed-End Status Protection
Features and Discount Control Measures Survey that he has
prepared. It is anticipated that responses to the survey will
aid closed-end fund members in preparing their prospectuses,
articles of incorporation, by-laws, etc. concerning measures to
eliminate a discount, protect against unwanted takeovers, and
other such items. A copy of the survey is attached.
Please review the survey and submit any comments you may
have concerning the survey to the undersigned by May 12, 1989.
After the comments are received and collated, a final survey will
be distributed to all closed-end fund members for their
responses.
