RE: APRIL 28 MEETING

Attached is a preliminary agenda for the April 28 meeting
of the Unit Investment Trust Committee. The meeting will take
place at 10:00 a.m. at the Institute, with lunch served
afterwards.
Also attached is a memorandum from Fulbright & Jaworski,
counsel to the Institute, concerning prospectus delivery to
unaffiliated dealers in the secondary market. Alan Levenson and
Jean Gleason of Fulbright & Jaworski will be at the meeting to
discuss this problem, which is the first item on the agenda.
