RE: DRAFT BROCHURE ON ROLE OF MUTUAL FUND DIRECTORS

The Institute has prepared a brochure entitled Understanding the Role of Mutual Fund
Directors. The brochure is part of the Institute’s Investor Awareness Series, which is designed to help
build investors’ understanding of, and set realistic expectations about, investment companies. The new
brochure explains the duties and responsibilities of mutual fund directors in a simple and direct manner.
It is intended for “lay” audiences, including the media, and may be useful at forums such as the
proposed SEC roundtable on fund governance and SEC investor town meetings.
A copy of the draft brochure is enclosed for your review. If you have any comments or
