RE: PROPOSED MASSACHUSETTS RULE AMENDS MANUAL EXEMPTION

Attached is a copy of a proposed rule that defines "non-
issuer transaction or distribution" and also provides other
limitations on the manual exemption. For ease in reference, I
have also attached a copy of the manual exemption. A hearing on
this matter has been set for Thursday March 16, 1989. Please let
me have your comments as soon as possible.
