RE: NOMINATIONS FOR ELECTION TO THE BOARD OF GOVERNORS

At the May 2, 1996 Board meeting, Jim Riepe reported that the Nominating Committee,
which he chairs, was recommending thirteen persons for election by the members to a three-
year term on the Board and that a recommendation with respect to the two remaining positions
on the ballot would be made at a later date.
The Nominating Committee has now proposed, and the Executive Committee has
concurred, in the nomination of William M. Lyons, Executive Vice President and General
Counsel of Twentieth Century/Benham and Arnold M. Reichman, President, Warburg Pincus
Counsellors, to the two open positions on the ballot.
A complete list of the fifteen nominees is attached. This is the list that will be proposed
to the members for election in August. Please call either Dick Pogue or me if you have any
questions or comments about the nominations.
