RE: EXTENSION OF COMMENT PERIOD FOR PROPOSED AMENDMENTS TO
MONEY MARKET FUND REGULATION

As we previously informed you, the Securities and Exchange Commission has
proposed amendments to the rules and forms under the Investment Company Act of
1940 and the Securities Act of 1933 relating to the regulation of money market
funds. (See Memorandum to Money Market Funds Ad Hoc Committee No. 10-93, dated
December 23, 1993.) The Commission has extended the comment period for the
proposed amendments from April 6, 1994 to May 6, 1994.
The Institute intends to circulate shortly another draft comment letter and
schedule a meeting to discuss the letter.
