RE: DRAFT AGENDA FOR FEBRUARY 1 MEETING

Attached is a draft agenda for the SEC Rules Committee meeting scheduled
for February 1, 1994. The meeting will be held at the Renaissance Techworld
Hotel, 999 Ninth Street, N.W., in Washington, D.C. The meeting will take place
in the Renaissance West A Room at 10:00 a.m, and will be followed by a joint
luncheon with the Investment Advisers Committee in Meeting Rooms 10 & 11.
