APPOINTMENT OF INSTITUTE GENERAL COUNSEL

July 8, 1993 TO: BOARD OF GOVERNORS NO. 61-93 RE: Appointment of Institute General Counsel __________________________________________________________ I am pleased to inform you that the Institute has appointed Paul S. Stevens as General Counsel. Mr. Stevens currently is a partner in the Washington, D.C. office of the law firm of Dickstein, Shapiro & Morin. Since 1978, he has practiced law in the areas of the regulation of mutual funds and other financial institutions, international trade and investments, and government contracts. He also has served in a variety of senior government positions, including as Executive Secretary and Legal Adviser of the National Security Council and Special Assistant to the President for National Security Affairs. Mr. Stevens is a graduate of Yale University and the University of Virginia School of Law. He will join the Institute's staff in September. Reporting to Mr. Stevens will be Catherine L. Heron, Vice President - Tax & Pension, and Craig S. Tyle, Vice President - Securities. Matthew P. Fink President
