Attached is a copy of revised draft disclosure guidelines
for tax-exempt money market funds prepared by members of the
Secondary Market Disclosure Task Force and the relevant sections
of the Disclosure Handbook for Municipal Securities that are
referred to in the guidelines. The draft guidelines will be
discussed at the April 7th joint meeting of the Money Market
Funds Ad Hoc Committee and Secondary Market Disclosure Task
Force. The draft guidelines are for your review only and are
not, at this time, intended for general distribution.
If you are not planning to attend the April 7th meeting,
please provide me with your comments on the draft guidelines by
