May 8, 1992 TO: BOARD OF GOVERNORS NO. 29-92 RE: PERSONNEL MATTERS __________________________________________________________ Larry Rogers has decided that he would like to return to the investment management industry and therefore has resigned as the Institute's General Counsel. (See attached correspondence.) Larry has agreed to remain at the Institute through July 31 to assist in the transition. I intend to recommend to the Board of Governors at its May 20, 1992 meeting that Craig Tyle, currently the Institute's Deputy General Counsel, be elected to the new position of Vice President - Securities. Craig has been a member of the Institute's Legal Department since 1988. Previously he was with Sullivan & Cromwell in New York and is a graduate of Swarthmore College and Harvard Law School. In his new position, Craig will have the responsibility for management of the Legal Department. This position parallels the assignment of responsibility for tax and pension matters to the Vice President - Tax and Pension, Catherine Heron. Mr. Tyle will report directly to me. Matthew P.
