RE: SOUTH DAKOTA REVISES FORM FOR CLAIMING BLUE CHIP EXEMPTION

As we previously advised you, beginning December 1, 1991,
all investment companies that claim the blue chip exemption from
registration in South Dakota must make separate filings for each
trust, series or portfolio. (See Memorandum to State Securities
Members No. 51-91, Unit Investment Trust Members No. 57-91, dated
November 21, 1991.)
As a result of this policy change, the South Dakota
Securities Division recently revised the form to claim the blue
chip exemption. A copy of the revised form is attached.
The revised form also will be included in the next update
to the Institute's Blue Sky Guide, which will be mailed soon.
