RE: DRAFT LETTER ON TECHNICAL ISSUES UNDER RULE 2a-7

As we previously informed you, the Institute is preparing a
letter to the SEC staff on the technical issues that members have
identified under Rule 2a-7. Attached is a draft letter on these
issues. If time permits, we will discuss the letter at the
meeting scheduled for November 6, 1991 to discuss inverse
floaters. If we are unable to do so or if you are not planning
to attend the meeting, please provide me with your comments on
the letter by November 15, 1991.
