SEC Rules Committee SUBJECTS: Compliance RE: SEC to Hold National Compliance Outreach Seminar for Investment Companies and Advisers on April 21

The SEC has announced that its Office of Compliance Inspections and Examinations (OCIE) and Divisions of Investment Management and Enforcement are jointly sponsoring the SEC’s next National Compliance Outreach Seminar for investment companies and investment advisers on April 21st from 8:30 - 5:30.[1] Persons can attend the program in person at the SEC’s Washington, DC office or via webcast from the SEC’s website (www.sec.gov). Persons wanting to attend in person should register sooner rather than later as the SEC can only accommodate 500 attendees. Here is the link to register: https://www.sec.gov/compliance-outreach-program-national-seminar-2020. If you plan to attend via webcast, registration is unnecessary – you just need to visit the SEC’s website the morning of the seminar.

The seminar will consist of the following panels:[2]

  • Welcoming and Introductory Remarks;
  • Insights from SEC Leadership Regarding Program Priorities;
  • Investment Adviser Standard of Conduct and Related Disclosure;
  • Conflicts of Interest – Focus on Fees and Expenses;
  • Question and Answer Session 1;
  • Private Funds;
  • Question and Answer Session 2;
  • Hot Topics (i.e., issues affecting retail investors and senior clients; outreach to teachers and military investors; Fin-Tech topics including robo-advisers); and
  • Investment Company Topics (i.e., compliance and board oversight of risks; shareholder disclosures; recent rulemaking relating to ETFs, Variable products, and BDCs).

While the panels are largely comprised of SEC staff from OCIE, Enforcement, and IM, some panels will include mutual fund representatives. In addition to the vice chair of ICI’s CCO Committee, Katie Primas (Dodge & Cox), other fund companies represented on panels at the seminar include SEI, T. Rowe Price, William Blair & Company, and AXA Equitable.
