RE: REVISED FORM W-4P

Attached is a copy of IRS Form W-4P, Withholding
Certificate for Pension or Annuity Payments, which was revised
for 1991. The form is used for recipients of income from
retirement plans to determine whether payors should withhold
income tax from the distribution and on what basis.
The 1991 Form W-4P incorporates certain changes in federal
income tax rates and the standard deduction which apply to
individual taxpayers in 1991. The revised form is otherwise the
same as the 1990 version.
