ORGANIZATIONAL MATTERS

February 15, 1991 TO: BOARD OF GOVERNORS NO. 12-91 RE: Organizational Matters __________________________________________________________ In conjunction with the plan for Matthew Fink to assume the Institute’s Presidency upon David Silver’s retirement on October 1, 1991, the Executive Committee has approved the following organizational changes at the Institute: Effective October 1, 1991, Lawrence A. Rogers will become General Counsel, succeeding Mr. Fink. Mr. Rogers is a graduate of the University of Michigan and the University of Michigan Law School. He currently is Senior Vice President and General Counsel of American Capital Management & Research, Inc. in Houston. Mr. Rogers will join the Institute’s staff in May with the interim title of Senior Counsel. Also effective October 1, 1991, Craig S. Tyle, currently Associate General Counsel of the Institute, will become Deputy General Counsel. A new department devoted to tax and pension matters has been established. Catherine L. Heron, currently Deputy General Counsel, will head the new department with the title of Vice President - Tax and Pension. Ms. Heron also will be responsible for coordinating the Institute’s international activities. The attached press release is being sent out to announce these changes. C.
