TO: INTERNATIONAL COMMITTEE No. 14-09
INTERNATIONAL INVESTING SUBCOMMITTEE No. 8-09     RE: PRELIMINARY AGENDA FOR INTERNATIONAL COMMITTEE MEETING - SEPTEMBER 29, 2009

We are pleased to announce that we will have two special presentations at this meeting.  First, Guy Sears from the U.K.’s Investment Management Association will lead a discussion on the European Commission’s proposed Directive on Alternative Investment Fund Managers.  We have also invited a representative from the U.K.’s Treasury to participate in this discussion and are hoping to confirm his attendance.  We expect the discussion to include an update on the status of the Directive and the potential impact of the Directive on both European and U.S. investment managers as well as U.S. mutual funds. [1]  The presenter(s) will be available to address questions.

We will also have a presentation by David Grim, Assistant Chief Counsel in the SEC’s Division of Investment Management.  David is the Division’s primary contact with IOSCO on fund matters.  David will speak about the current priorities of foreign regulators from a U.S. regulator’s perspective.  He will also be available to answer questions.

In addition to the presentations, we will provide an update on our recent international activities and issues.  We will also have time at this meeting for Committee members to raise issues on which they wish to seek input from other members.

The committee meeting will be held at the Investment Company Institute in Washington, D.C. with offsite locations in San Mateo, California and London.  The California and London meetings will be hosted by Franklin Templeton Investments.  The meeting will begin at 12 p.m. Eastern time (9 a.m. Pacific time and 5 p.m. London time) and will last for approximately 2 hours.  Lunch or a continental breakfast will be available at the US locations before the meeting.  Details for the three locations are listed below.
