RE: NOTICE OF MEETING - DECEMBER 14, 1990

This is to advise you that there will be a meeting of the
Broker/Dealer Advisory Committee starting at 8:30 a.m. on Friday,
December 14, 1990 at the Second Floor offices of PaineWebber,
Inc. which is located at 1200 Harbor Boulevard - Building B,
Weehawken, New Jersey 07087-6790. Lunch will be served and the
meeting is expected to continue until approximately 4:30 p.m.
For your convenience, we have reserved sleeping rooms at
Embassy Suites Hotel which is located at Plaza at the Meadows,
455 Plaza Drive, Secaucus, NJ 07094. The rate is $99.00 per
person. To reserve a room, please call the hotel by Friday,
November 30, 1990 at 201/864-7300 and ask for a room in the
PaineWebber block. Vans will be waiting at the hotel entrance to
take the group to PaineWebber at 7:45 a.m. on Friday, December
14.
We would like to invite you to join us for dinner on
Thursday, December 13, 1990 at the Embassy Suites Hotel. Each
dinner attendee will be billed later for their share of the total
bill for this function and the hotel will charge us based on the
guaranteed count we must give them one week in advance of this
function. Accordingly, if you have indicated that you will
attend but change your plans, you must let us know in advance as
we (and you) will be billed.
In order that we know exactly who will be attending this
meeting and dinner, we ask that you complete the attached form
and return it by Friday, November 30, 1990, either by FAX or
