RE: ATTENDANCE OF PORTFOLIO MANAGERS AT NOVEMBER 12 MEETING

In an effort to limit attendance and keep the meeting of
the Committee scheduled on November 12, 1990 orderly, we
recommend that each fund complex send no more than one attorney
and one portfolio manager to the meeting. In this respect, we
will seek the input of portfolio managers on the impact of the
items in the draft proposal previously circulated to you on the
management of tax-exempt fund portfolios. (See Memorandum to
Money Market Funds Ad Hoc Committee No. 1-90, dated October 30,
1990.)
