RE: CONFIRMATION OF MEETING - AUGUST 9, 1990

This is to confirm that there will be a meeting of the
Networking Indemnification Task Force starting at 10:30 a.m. on
August 9, 1990 in the Sixth Floor Conference Room at the offices
of the Investment Company Institute which is located at 1600 M
Street, NW, Washington, D.C. 20036. Lunch will be served and
the meeting is expected to continue until approximately 2:30-3:30
p.m.
Attached for your review is a preliminary discussion draft
which has been prepared by Kirkpatrick & Lockhart (K&L reviewed
and revised the draft agreement that Rob Bunnen prepared prior to
his departure from the Institute).
