TO: SEC RULES COMMITTEE No. 47-07 RE: MEETING DETAILS AND DRAFT AGENDA FOR JUNE 21 SEC RULES COMMITTEE MEETING

As we indicated in a recent e-mail message, due to an unexpected conflict with an SEC roundtable on Rule 12b-1, we have rescheduled the SEC Rules Committee meeting originally planned for June 19th.  The meeting is now scheduled for Thursday, June 21st at the offices of the Investment Company Institute, 1401 H Street, N.W., Washington, D.C.  It will be held in the David Silver Conference Room on the 12th Floor from 1:00 to 4:30 p.m. Eastern time.  Lunch will be available beginning at 12:30 p.m.  A draft agenda for the meeting is attached, and it provides links to related materials. [1]

Participation by videoconference will be available from two locations:

Wells Fargo Advantage Funds                                                         Nuveen Investments

525 Market Street, 12th Fl.                                                        333 W. Wacker Drive, 33rd Fl.

San Francisco, CA                                                                      Chicago, IL

10:00 a.m. Pacific time                                                        12:00 p.m. Central time

Lunch will be served following the meeting in San Francisco and prior to the meeting in Chicago.  ICI staff members will be present at each location.  Frances Stadler, Deputy Senior Counsel, will attend the videoconference in San Francisco and Heather Traeger, Assistant Counsel, will attend the videoconference in Chicago.

We apologize for any inconvenience the date change may cause, but we believe it will enable us to offer a more informative and valuable meeting.  As indicated on the attached draft agenda, the meeting will begin with a presentation by Robert E. Plaze, Associate Director, and Penelope Saltzman, Branch Chief, of the SEC’s Division of Investment Management.

Please indicate on the attached response form whether you or an alternate will attend the meeting, either in Washington, D.C. or by videoconference from San Francisco or Chicago.  (Only one person per complex may attend the meeting.)  In addition, please provide any items that you would like to discuss at the meeting and any issues or questions that you would like the SEC staff members to address.  Please return the response form by fax to Barbara Watkins at (202) 326-5827 by Friday, June 15th.

We look forward to seeing you on June 21st.
