RE: MEETING ON 1990s STUDY

As we previously informed you, there will be a special
session of the SEC Rules Committee after lunch on April 26th to
discuss the Institute's work on a 1990s regulatory proposal.
In preparation for this meeting, attached are 1) a draft paper
prepared by Steve West, counsel to the Institute, which
outlines a number of possible regulatory changes and 2) the
minutes of a meeting of the 1990s working group which developed
the recommendations that will be discussed on the 26th.
