RE: NOTICE OF MEETING - APRIL 26, 1990

The SEC Rules Committee meeting has been scheduled for
Thursday, April 26, 1990 at 10:00 a.m. The meeting will be held
at the Ramada Renaissance TechWorld, 999 Ninth Street, N.W.,
Washington, D.C. A luncheon will be served immediately following
the committee meeting.
After lunch, at 1:30 p.m., there will be a special meeting
of the Committee to discuss the Institute's regulatory agenda for
the 1990's. At the meeting we will discuss a memorandum prepared
by Steve West, outside counsel to the Institute, and
recommendations to be made to the Executive Committee regarding
changes to the regulatory structure applicable to investment
companies.
A block of rooms has been reserved at the Ramada
Renaissance TechWorld. Please call 202-898-9000, as soon as
possible, if you wish to make a reservation. The cut-off date
for the preferred room rate is Wednesday, April 4, 1990.
Please remember that the space at the meetings is limited
to members of the committees, or their alternates. To assist us
in obtaining an accurate registration of attendees, please
indicate in the space provided on the attached registration form
if you or an alternate plan to attend the meetings, and luncheon.
