TAX LEGISLATIVE PROPOSALS

The 1990 Congressional session may provide an opportunity
to amend the tax laws affecting regulated investment companies
("RICs"). At the January 9, 1990 Tax Committee meeting, we will
consider what legislative proposals the industry should suggest.
The attached memorandum discusses the reasons that Congress
may act next year and briefly summarizes possible legislative
proposals. Please come to the January meeting prepared to
discuss these issues.
