RE: TIAA-CREF MAILING TO EMPLOYERS

As you know, the SEC in August approved the settlement
agreement filed in the TIAA-CREF proceeding. TIAA-CREF is
required under the agreement to mail a written notice to all
employers with respect to the availability of the transferability
and lump-sum distribution options.
Attached is a copy of the notice that TIAA-CREF has mailed
to employers.
